Terms of Service

1. Agreement to Terms

By accessing or using Drywall Quote (“the Service”), including our mobile applications and website, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Drywall Quote (“we,” “us,” or “our”). Please read them carefully.

2. Description of Service

Drywall Quote is a quoting and estimating tool designed for professional drywall contractors. The Service allows you to:

• Create job estimates and quotes
• Calculate materials and labor costs
• Generate professional PDF documents
• Share quotes with customers
• Manage customer and job information
• Create quotes using voice dictation (experimental)
• Work offline and sync data when connectivity returns

4. Subscription Terms

If paid subscription plans are introduced in the future, the following terms will apply:

4.1 Billing

If paid plans are introduced and you choose to subscribe:

• You authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your chosen plan)
• Subscription fees are billed in advance at the beginning of each billing period
• All fees are non-refundable except as expressly stated in these Terms or required by law

4.2 Free Trials

We may offer free trial periods for paid features. At the end of a trial:

• Your subscription will automatically convert to a paid subscription unless you cancel before the trial ends
• You will be charged the applicable subscription fee
• You can cancel at any time during the trial without charge

4.3 Cancellation

If paid plans are introduced and you subscribe, you may cancel at any time:

• Cancellation takes effect at the end of your current billing period
• You will retain access to paid features until the end of the paid period
• After cancellation, your account will revert to the free tier
• Your data will be preserved, but features exceeding free tier limits may become inaccessible

5. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Resell or redistribute the Service without our permission
• Use the Service to send spam or fraudulent quotes
• Violate any applicable laws or regulations

7. Voice Quoting Feature

7.1 Description

The Service includes an optional voice quoting feature that allows you to describe a job verbally. Your audio is transcribed using OpenAI Whisper, then processed by Anthropic Claude to extract structured quote data (rooms, dimensions, finish levels, terms, etc.).

7.2 Accuracy Disclaimer

Voice quoting uses AI-powered transcription and data extraction, which may not be perfectly accurate. You are responsible for reviewing and verifying all AI-generated quote data before sharing it with customers. We are not liable for errors in transcription, extraction, or any resulting quotes.

7.3 Audio Content Guidelines

When using voice quoting, you agree to provide only job-related descriptions. Do not submit audio containing sensitive personal information, offensive content, or material unrelated to drywall quoting.

7.4 Internet Required

Voice quoting requires an active internet connection for audio processing and is not available in offline mode.

7.5 Experimental Status

Voice quoting is an experimental feature. We may modify, suspend, or discontinue it at any time without prior notice.

8. Offline Functionality

8.1 Local Storage

The Service can operate without an internet connection by storing data locally on your device. Offline data is not backed up to our servers until connectivity is restored.

8.2 Sync and Conflict Resolution

When connectivity returns, the Service will attempt to sync your offline data with our servers. If conflicts arise between offline and online data, the Service will prompt you to resolve them. You are responsible for verifying that synced data is correct.

8.3 Data Loss Risk

Data stored only on your device while offline is at risk of loss due to device failure, app uninstallation, or data clearing. We are not responsible for loss of data that has not been synced to our servers.

8.4 Feature Limitations

Certain features are unavailable while offline, including voice quoting, email sharing, photo uploads, and any feature requiring server communication.

9. Your Content and Data

You own your data. All quotes, customer information, and business data you create or upload remain your property.

By using the Service, you grant us a limited license to:

• Store, process, and display your content as needed to provide the Service
• Create backups for data protection purposes
• Generate aggregated, anonymized statistics (no personal data)

We will never sell your content or use it for purposes unrelated to providing the Service. See our Privacy Policy for details.

10. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Drywall Quote and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Use our trademarks, logos, or branding without permission
• Remove any copyright or proprietary notices

13. Indemnification

You agree to indemnify and hold harmless Drywall Quote, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

By You: You may stop using the Service and delete your account at any time.

By Us: We may suspend or terminate your access to the Service if:

• You violate these Terms
• Your account is used for fraudulent or illegal activity
• Required by law
• We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases. You may export your data before termination. Sections that should survive termination (Disclaimers, Limitation of Liability, Indemnification) will remain in effect.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms and updating the “Last updated” date. For significant changes affecting your rights or obligations, we will provide at least 30 days' notice. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

16. Governing Law

These Terms are governed by the laws of Estonia, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Estonia, and you consent to the jurisdiction of such courts.

17. Dispute Resolution

Before filing a legal claim, you agree to try to resolve disputes informally by contacting us at legal@drywallquote.app. We will attempt to resolve the dispute within 30 days.

If informal resolution fails, any dispute shall be resolved through binding arbitration, except for claims that qualify for small claims court.

18. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Drywall Quote.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not transfer your rights under these Terms. We may assign our rights to an affiliate or successor.
